02Scope of these Terms
These Terms apply only to the Website and the general corporate information, communication tools, and materials made available through it.
These Terms do not govern:
- a payment account, wallet, card, exchange, digital-asset, investment, banking, lending, custody, brokerage, or other financial product;
- services supplied through a FinDech portfolio brand;
- a customer portal, developer platform, API, sandbox, dashboard, or other restricted-access service;
- professional services supplied under a proposal, order form, statement of work, licence, service agreement, partnership agreement, or other contract;
- services supplied by a bank, electronic money institution, payment institution, crypto-asset service provider, broker, custodian, card issuer, processor, identity provider, or other third party.
Those products and services may be governed by separate terms, regulatory disclosures, privacy notices, service descriptions, and contractual documentation.
Where a separate written agreement between you and FinDech applies to a particular service, that agreement will prevail over these Terms in relation to that service to the extent of any conflict.
03Acceptance of these Terms
By accessing, browsing, or using the Website, you confirm that:
- you have read and understood these Terms;
- you agree to comply with them; and
- you have the legal capacity and authority required to accept them.
If you do not agree with these Terms, you must not use the Website.
Merely accessing publicly available information does not create a commercial, advisory, fiduciary, partnership, agency, employment, or other professional relationship between you and FinDech.
04Eligibility and authority
You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, to submit an inquiry, request a proposal, or otherwise engage with FinDech through the Website.
If you use the Website on behalf of an organisation, you represent that:

Unless expressly stated in a separately executed agreement, Website content is provided for general corporate and informational purposes only.
06No regulated financial service through the Website
The Website itself is not a bank account, payment account, electronic money account, investment platform, crypto-asset platform, exchange, broker, custodian, lender, or financial marketplace.
Accessing the Website does not:
- open an account;
- create a customer relationship;
- initiate or execute a payment;
- constitute the issuance of electronic money;
- create a deposit, custody, brokerage, or investment relationship;
- entitle you to a card, wallet, credit facility, token, digital asset, or financial instrument; or
- guarantee eligibility for any present or future product.
Where regulated services are made available through a portfolio brand or commercial implementation, those services may be provided by appropriately authorised third-party institutions and will be subject to separate onboarding, eligibility, compliance, and contractual requirements.
Any applicable regulated status, responsible service provider, safeguarding arrangement, partner institution, licence, jurisdiction, and customer-protection framework must be identified in the documentation relating to the relevant product. You should not assume that FinDech UAB itself holds a particular financial licence unless that status is expressly stated and supported by the applicable regulatory disclosure.
07No financial, investment, legal, tax, or other professional advice
Nothing on the Website constitutes or should be treated as:
- financial advice;
- investment advice or a personal recommendation;
- legal, regulatory, accounting, or tax advice;
- credit, insurance, or risk advice;
- an assessment of the suitability or appropriateness of a product;
- a recommendation to acquire, hold, dispose of, or transact in any asset, token, currency, security, or financial instrument;
- an offer, solicitation, prospectus, admission document, or invitation to invest; or

08Portfolio brands and separate operators
The Website may refer to products, projects, concepts, companies, portfolio brands, domains, or services associated with FinDech.
Depending on the relevant product and jurisdiction, a portfolio brand may be:
- operated directly by FinDech;
- operated by an affiliate or another group company;
- developed by FinDech but supplied by another legal entity;
- operated jointly with a commercial or regulated partner;
- in development, testing, pilot, waitlist, or pre-launch status; or
- a concept that is not yet commercially available.
A reference to a portfolio brand does not necessarily mean that FinDech UAB is the contracting or regulated service provider for that brand.
Before using a portfolio product, you must review the legal terms, regulatory disclosures, privacy notice, fees, risk warnings, and company information displayed by that specific product.
09Availability by jurisdiction
Information about a product on the Website does not mean that the product:
- is available in your country;
- may lawfully be offered to you;
- has received any required regulatory approval;
- is suitable for your organisation or intended use;
- supports a particular currency, payment method, asset, or customer type; or
- will be launched on a particular date.
Products and capabilities may be restricted based on residency, incorporation, location, citizenship, customer category, sanctions status, licensing requirements, partner coverage, risk assessment, technical availability, or other considerations.
You are responsible for determining whether your access to and use of the Website is lawful in your jurisdiction.
10Business inquiries and commercial discussions

11Information you submit

- malicious code, executable files, or harmful links;

- loss that was not reasonably foreseeable;
- business losses, including lost profit, revenue, opportunity, contracts, or anticipated savings;
- loss caused by inaccurate information you supplied;

- loss that could reasonably have been avoided by following FinDech’s instructions or taking reasonable protective measures.
Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, deliberate misconduct, or any other liability that cannot be limited under applicable law.
Mandatory consumer rights remain unaffected.
26Liability to business users
If you use the Website for business or professional purposes, then, to the maximum extent permitted by law:
- FinDech will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss;
- FinDech will not be liable for loss of profit, revenue, business, contracts, opportunity, goodwill, reputation, anticipated savings, data, or business continuity;
- FinDech will not be liable for decisions based on general Website information;
- FinDech will not be liable for acts or omissions of third-party providers, portfolio operators, regulated institutions, or external websites; and
- FinDech’s total aggregate liability arising from or relating to the Website and these Terms will not exceed the greater of:
- EUR 100; or
- the amount you paid directly to FinDech specifically for access to the Website during the 12 months preceding the event giving rise to the claim.
The limitations in this section apply regardless of the legal basis of the claim, including contract, tort, negligence, misrepresentation, restitution, or breach of statutory duty.
The limitations do not apply to liability resulting from fraud, fraudulent misrepresentation, wilful misconduct, gross negligence where it cannot lawfully be limited, or any liability that applicable law does not permit FinDech to exclude or limit.
27Business-user indemnity
If you access or use the Website on behalf of a business or other organisation, that organisation will indemnify FinDech, its affiliates, and their officers, employees, and contractors against third-party claims, liabilities, damages, penalties, and reasonable legal costs arising from:

30Governing law and disputes
These Terms and any non-contractual obligations arising from or connected with them are governed by the laws of the Republic of Lithuania.
Consumers
If you are a consumer, this choice of law does not deprive you of mandatory protections available under the law of your country of habitual residence.
You may bring proceedings before any court having jurisdiction under applicable consumer-protection and procedural law.
Before starting formal proceedings, you are encouraged to contact FinDech at info@findech.com so that the matter can be reviewed.
Business users
If you use the Website for business or professional purposes, the courts of Vilnius, Lithuania will have exclusive jurisdiction over disputes arising from or connected with these Terms or the Website.
The parties should first attempt in good faith to resolve the dispute through written negotiations.
Nothing in this section prevents FinDech from seeking urgent injunctive or protective relief in another court with appropriate jurisdiction.
31Changes to these Terms
FinDech may update these Terms to reflect changes in:

- FinDech’s business or corporate structure;
- applicable laws or regulatory expectations;
- security requirements;
- third-party services; or
- FinDech’s operating practices.

33.5No partnership or agency

33.7Force majeure
FinDech is not responsible for delay or failure caused by circumstances beyond its reasonable control, including internet failures, utility outages, cyberattacks, war, civil disturbance, natural disasters, epidemics, governmental action, sanctions, labour disputes, or failure of critical third-party infrastructure.

33.9Language
These Terms are written in English. Translations may be provided for convenience.
To the extent permitted by applicable law, the English version will prevail in the event of an inconsistency. This does not limit any mandatory right to receive information in another language.
